1. Acceptance of these terms

These Terms of Service ("Terms") form an agreement between you and AmarPilot ("AmarPilot", "we", "us") governing your access to and use of our website, apps, APIs and services (together, the "Service"). By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & authority

You must be at least 18 years old and able to enter a binding contract. If you use the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms, and "you" includes that business.

3. Your account

Keep your login credentials secure and do not share them. You are responsible for all activity under your account, including actions by team members you invite and the roles and permissions you grant them. Tell us promptly if you suspect unauthorised access. The information you provide at sign-up must be accurate and kept up to date.

4. Acceptable use

You agree not to use the Service to:

• break any applicable law, or sell goods or services that are illegal in Bangladesh or the buyer's location;
• send spam, deceptive, or unsolicited messages, or breach the rules of any connected channel (SMS, WhatsApp/Meta, email);
• commit fraud, infringe others' intellectual property, or upload malware or unlawful content;
• probe, overload, reverse-engineer, scrape, or interfere with the Service or its security;
• resell or sublicense the Service without our written consent.

5. Your data & content

You own the order, customer, product, inventory and other data you enter ("Your Content"), and you are responsible for its accuracy and for having the right to use it. You grant us a limited licence to host, process and transmit Your Content only as needed to operate and improve the Service and to carry out actions you initiate. Each business's data is isolated from every other.

6. Storefronts, orders & cash on delivery

AmarPilot is a tool that helps you run your shop — orders, inventory, messaging, storefront, COD and reports. Any sale is strictly between you and your customer. We are not a party to that sale and are not a payment processor, courier, or seller of your goods. You are solely responsible for your products, pricing, fulfilment, returns, refunds, taxes, and customer support, and for complying with consumer-protection and other laws that apply to you. You are the merchant of record for every storefront order.

7. Messaging & customer consent

When you use SMS, WhatsApp/Meta, email, or other channels through the Service to reach your customers, you confirm you have a lawful basis and any required consent to contact them, and that your messages follow applicable rules — including Bangladesh telecom and do-not-disturb (DND) requirements and the policies of each channel provider. You must honour opt-out and unsubscribe requests promptly. You are responsible for the content of messages you send, and we may throttle or block sending that appears abusive or non-compliant.

8. Third-party integrations

The Service connects to third-party providers you choose — couriers, SMS gateways, Meta/WhatsApp, payment and other services. Your use of those is governed by their own terms, and we are not responsible for their availability, acts, or charges. We pass data to them only to perform actions you initiate.

9. Developer API

If your plan includes API access, we issue API keys that authenticate requests to the AmarPilot public API. You are responsible for keeping your keys secret and for all activity made with them; treat a key like a password and rotate or revoke it if exposed. You must stay within published rate limits and must not use the API to scrape, overload, or circumvent plan limits or security. We may rate-limit, suspend, or revoke keys for abuse, and may change, version, or deprecate API endpoints on reasonable notice.

10. Plans, billing & trials

A free plan is available with no card required. We may offer a free trial of a paid plan; unless you cancel before it ends, a trial may convert to the corresponding paid plan and bill at the listed price. Trials are limited to one per business and may be changed or withdrawn. Paid plans, add-ons and credits are billed as described at checkout; your quotas and features follow your current plan. Fees are stated in the currency shown at checkout and, unless stated otherwise, are exclusive of any applicable taxes, which are your responsibility. We may change prices on prospective notice; changes do not affect a term you have already paid for.

11. Credits

Some features (such as SMS) are metered with prepaid credits. Credits have no cash value, are non-transferable between businesses, and are consumed as you use the metered feature. Unless we state otherwise at purchase, unused credits may expire and are forfeited when your account is terminated. Credit balances are not a deposit and cannot be redeemed for cash.

12. Coupons & promotional codes

Promotional codes and discounts we offer are subject to any stated conditions, have no cash value, cannot be combined unless we say so, and may be changed or withdrawn at any time. We may void codes that are obtained or used fraudulently or in error. Coupons you create for your own customers are your responsibility, including their funding and honouring.

13. Refunds & cancellation

You can cancel a paid plan at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees already paid and consumed credits are non-refundable. If you believe you were charged in error, contact us and we'll review it.

14. Service availability & changes

We work to keep the Service reliable but provide it as-is during this launch period and do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and may run maintenance that briefly interrupts access. We'll flag material changes where we reasonably can.

15. Violations, suspension & enforcement

You may stop using the Service and delete your account at any time. If you breach these Terms — including the Acceptable use rules — fail to pay, or use the Service in a way that risks harm to others or to the Service, we may, at our discretion and with or without prior notice depending on the severity:

• issue a warning, or limit, throttle, or pause affected features;
• remove or disable content that violates these Terms or the law — including products, storefronts, messages, or media;
• suspend or terminate your account, with no refund of fees already paid or credits consumed where the action follows your breach.

Choosing not to act on a violation does not waive our right to act on it later. We are not liable to you for good-faith enforcement actions. On termination your right to use the Service ends; we may delete Your Content after a reasonable period, so export anything you need first.

Reporting a violation. To report abuse, illegal goods, intellectual-property infringement, or any other breach by a seller or store, contact us through the home page with enough detail to identify the content. We review reports and act where appropriate.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that data, reports, courier or messaging results will be uninterrupted, timely, or accurate.

17. Limitation of liability

To the maximum extent permitted by law, AmarPilot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.

18. Indemnity

You agree to indemnify and hold AmarPilot harmless from claims, losses, and expenses arising out of Your Content, your products or sales, your messaging to customers, your use of the Service, or your breach of these Terms or of applicable law.

19. Governing law & disputes

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-laws rules. The courts of Dhaka, Bangladesh have exclusive jurisdiction over any dispute, and you consent to that jurisdiction.

20. General

We are not liable for failures or delays caused by events beyond our reasonable control (including outages of third-party providers, network or power failures, or acts of government or nature). You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Privacy Policy and any plan or checkout terms, are the entire agreement between us. You agree we may give notices and communicate with you electronically — by email or in-app — and that those satisfy any legal notice requirement.

21. Changes to these terms

We may update these Terms from time to time. When we make material changes we'll update the date above and flag them where we reasonably can. Continuing to use the Service after changes take effect means you accept the updated Terms.
